盛富莱技术人员现身老东家发明人名单 产能数据或与环对不上

    2025年3月26日，证监会对《上市公司信息披露管理办法》进行了修订。主要修订内容包括强化风险揭示要求，上市公司应当充分披露可能对公司核心竞争力、经营活动和未来发展产生重大不利影响的风险因素。

    在此背景下，冲击北交所的江西盛富莱光学科技股份有限公司（以下简称“盛富莱”），其核心技术人员高洪伟，自2021年起入职盛富莱并担任研发中心副主任。然而在高洪伟在盛富莱任职期间，其“老东家”在2024年申请的专利中，也出现名为“高洪伟”的专利发明人，且相关专利与高洪伟在盛富莱从事的主要研究领域或存重叠。另一方面，关于盛富莱主要产品之一微棱镜型反光膜的产能数据，或低于环评披露的数据，信息披露现疑云。

   此番上市，盛富莱表示，核心技术人员不存在侵犯第三方知识产权或商业秘密、违反与第三方的竞业限制约定或保密协议的情况，且与盛富莱签署了《保密和竞业禁止协议》（或聘任协议中约定了竞业限制条款）。值得注意的是，核心技术人员高洪伟自2021年起入职盛富莱，并担任研发中心副主任的职务。蹊跷的是，高洪伟“老东家”海特新材于2024年申请的3项发明专利中，也出现名为高洪伟的发明人，且该3项专利申请涉及的领域，与高洪伟的研究领域或存重叠。

    另一方面，2024年7月，盛富莱因新三板挂牌期间未如实披露股东代持情况，而被出具警示函。而招股书披露微棱镜型反光膜产能不足150万平方米，但环评显示，盛富莱微棱镜型反光膜改扩建项目二期或在2022年通过竣工验收，或至少拥有微棱镜型反光膜年产能超300万平方米。且盛富莱2025年2月编制的环评报告显示，微棱镜型反光膜改扩建项目正常生产，达到批复产能规模。至此，关于微棱镜型反光膜产能，招股书披露的产能数据或不及环评披露数据，进而其产能利用或值得关注。
